TERMS AND CONDITIONS

Unless you have a separate, mutually executed agreement in place with us, by submitting a purchase order, you agree to comply with and be bound by these Terms and Conditions. These Terms and Conditions may be amended and/or changes may be made by Gary Containers at any time without specific notice to you. It is your responsibility to review the Terms for updates or changes. If any provision of or change to these Terms is found invalid, void, or for any reason unenforceable, that change is severable and does not affect the validity and enforceability of any other changes or conditions.

NO ADDITION TO OR CHANGE OF TERMS

Any terms, conditions, or other specifications in any document submitted by you that are additional or different from the terms set forth herein are hereby expressly rejected. Such additional or different terms shall be of no force or effect. In the event of a conflict between these Terms and Conditions and any terms, conditions, or specifications in a Customer’s purchase order that conflict with the terms herein, these Terms & Conditions shall control.

PRICING

Gary Containers reserves the right to change product prices at any time without notice if necessary.

ACCEPTANCE

All orders are binding upon Gary Containers only after acceptance by Gary Containers.

CHANGES AND CANCELLATIONS

Prices, terms and conditions, items and colors are subject to change or can be discontinued without notice.
Changes will delay orders and must be authorized by Gary Containers. After production has been initiated on imprinted and custom orders, orders cannot be changed or canceled. Production time begins upon receipt of the complete order or after proof approval.

TITLE, RISK OF LOSS, AND SHIPPING

Title and risk of loss passes to you upon consignment of merchandise to the carrier. For any lost or damaged shipments, Gary Containers is not responsible for filing carrier claims when orders are shipped using a customer’s 2nd/3rd party shipping account. All orders that require replacement in these situations are the responsibility of the customer who submitted the original order.

Applicable shipping and handling charges are added to the customer’s invoice. Any product-specific shipping information is located on the respective product pages on our website.

Standard production times vary by product and are available on all catalog quantity orders. Seasonal fluctuations and size of order may affect production times.

Our products are designed and tested to meet the laws and standards of the United States and Canada. Customers wishing to ship products outside of those markets, whether shipped by Gary Containers or the Customer, assume the risk that the product or its components/contents may not meet the laws or product safety standards of the country of import.

RETURNS

Merchandise found to be incorrect due to our error will be replaced at no charge when returned within 30 days of receipt of merchandise. Authorization from Gary Containers is required prior to return of merchandise. Unauthorized returns will be refused and returned to sender at their expense plus a handling fee. Un-imprinted products will be subject to a 20% restocking charge.

WARRANTY

All products adhere to applicable quality and safety standards and are produced in accordance with all applicable federal, state, and local laws, rules, and regulations. Gary Containers will honor its return policy for any product that it determines does not meet its standards for quality and workmanship. Gary Containers DISCLAIMS ALL EXPRESS AND IMPLIED REPRESENTATIONS AND WARRANTIES WITH RESPECT TO ITS PRODUCTS INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THE ICONS USED IN THIS CATALOG WERE DESIGNED BY GARY CONTAINERS AND ARE NOT INTENDED TO IMPLY A THIRD-PARTY CERTIFICATION.

Waiver of Proofs

You are responsible for reviewing and approving all art proof(s) prior to initiation of production and understand that the order will print as it appears on the approved proof. You may not make any changes once production begins. By submitting approval of the proof, you assume all responsibility for any imprint errors.
If you waive the pre-production and/or virtual proof, you authorize Gary Containers to print according to the originally submitted order. You are solely responsible for any errors or omissions relating to, without limitation, the following: type, layout, images, logos, artwork, misspelled words, incorrect grammar or punctuation. Any additional costs incurred to fix these errors are your responsibility and are not eligible to be re-run free of charge.

INTELLECTUAL PROPERTY

Gary Containers® and all related trademarks, logos, and trade dress are trademarks or registered trademarks of Gary Containers and/or its affiliates and may not be used without written permission.

The designs embodied in the products depicted in this catalog are the property of Gary Containers, and/or its affiliates and licensors, and are protected under federal and international patent, trademark, and copyright laws. Any use of these designs without the express written consent of Gary Containers is prohibited.

CUSTOMER ARTWORK

Authorization Indemnification

Gary Containers assumes no responsibility for determining the proper ownership or proper use of trademarks, logos, and trade names.
All liabilities of this nature rest with you. By placing an order with Gary Containers, you represent and warrant that you have the authority to order, purchase, and distribute merchandise containing the names, trademarks, logos, copyrights, etc. identified in your order. You also agree to indemnify, defend, and hold harmless Gary Containers, its parent, subsidiaries and its affiliates and representatives, from and against all claims, damages, losses, liabilities, causes of action and expenses (including attorney’s fees) arising out of or related to any actual or alleged infringement or misappropriation of any trademark, copyright, or any other proprietary right of such merchandise. This provision will remain in effect after delivery of your order.

GOVERNING LAW

To the extent permitted by law, these Terms and Conditions shall be governed by and interpreted in all respects in accordance with the substantive laws of the State of Florida, U.S.A.
